Non-Disclosure Agreement

We refer to your interest in the purchase of one or more businesses and/or properties, whether companies or otherwise. In the course of acting for our clients in relation to said businesses and/or properties, we may be required to forward to you Confidential Information. In this letter Confidential Information is defined as information which is provided by us and/or our clients to you and/or your advisers and representatives which is not in the public domain and which is confidential in nature. This information may be provided orally, in hard copy or in electronic format. This may include, but is not restricted to: - Financial and trading information - Personal details relating to any residents including medical particulars - Details relating to any employees, directors or officers of the business including terms of engagement - Organisational structure of the business - Details of valuations including values and contents of reports - Any other information which may from time to time be identified by our client as being of a confidential nature In consideration of our clients and/or ourselves agreeing to send Confidential information to you, your representatives or advisers you undertake to us and to our clients: 1. To utilise the Confidential Information for the sole purpose of assessing the business and/or property with a view to concluding a contract for its purchase 2. That you, your employees, representatives and advisers agree to keep strictly confidential any Confidential Information received or acquired by any means during the course of discussions and not to transmit Confidential Information to any third party without the prior written consent of HPC or our client 3. That you will not make any announcement in respect of your proposed acquisition of or intention to purchase the business and/or property 4. That whenever requested to do so and in any event if the acquisition does not proceed you will destroy all material Confidential Information and any copies thereof 5. Not to communicate with the registering authority of the business and/or property without the prior consent of our client 6. Not to contact directly or by telephone, fax, email or letter any employees, directors or officers of the business nor to attend any of the homes without the prior consent of ourselves and/or our clients 7. Not to undertake Local Authority Searches without the prior written approval of our client’s solicitors 8. For a period of 12 months from the date of receipt by you of Confidential Information that neither you nor any of your employees or officers or subsidiaries will solicit or entice away any employee, director or officer of the business and/or property Each provision of this Agreement shall be construed separately and independently from any other and notwithstanding that any provision or any part of it may prove unenforceable, the remaining provisions shall remain in full force and effect. You agree that the provisions of this Agreement are immediately binding and impose a legal obligation upon you which will continue in full effect indefinitely or until such time as the acquisition of the business and/or property is completed by you. English Law shall apply to the provisions of this Agreement, notwithstanding the jurisdiction where you are based. You irrevocably agree that the Courts of England shall have exclusive jurisdiction to settle any disputes which may arise out of it.
